Distance Sales Agreement

1. Parties

BUYER

The natural or legal person who registers on the Poyvisor platform (poyvisor.com and app.poyvisor.com) and purchases a service online. The Buyer's name / company name, address, email and billing details are those declared during registration and payment.

2. Subject of the Agreement

This agreement sets out the rights and obligations of the parties, in accordance with Turkish Law No. 6502 on Consumer Protection and the Distance Contracts Regulation, regarding the sale and performance of the subscription plan and/or minute package ordered online by the Buyer through the Seller's Poyvisor platform.

3. Main Characteristics and Price of the Service

• Poyvisor is a software-as-a-service (SaaS) platform that lets businesses answer inbound calls and run outbound calls with AI-powered voice assistants.
• The name, scope, billing period (monthly or annual) and price of the purchased plan, and the content and price of any minute package, are as shown in the Pricing section and at the payment step at the time of the order.
• The total amount payable, including taxes, is shown to the Buyer separately before the payment is confirmed.
• Price changes by the Seller apply to existing subscriptions from the next billing period onwards and are notified to the Buyer in advance.

4. Payment

• Payments are taken by credit or debit card through the infrastructure of iyzico, a licensed payment institution.
• Card details are not seen or stored by the Seller; payment security is provided by iyzico.
• Subscription fees are charged in advance at the start of each billing period. Unless the Buyer cancels, the subscription renews automatically at the end of each period and the renewal fee is charged to the saved card.
• Minute packages are purchased with a one-time payment.
• The invoice for the purchase is issued electronically and sent to the Buyer.

5. Performance and Delivery

• The service is provided entirely online; there is no physical delivery or shipping.
• The subscription plan is activated on the Buyer's account immediately upon payment approval; minute packages are added to the Buyer's minute balance at the same time.
• The Buyer accesses the service with their own account at app.poyvisor.com.
• Delivery details are set out in the Delivery and Refund Policy.

6. Buyer's Representations and Obligations

• The Buyer acknowledges having been informed online, before the agreement was concluded, of the Seller's name and contact details, the main characteristics of the service, the total price including taxes, payment and performance details, and the right of withdrawal.
• The Buyer declares that the information provided during registration and payment is accurate and up to date.
• The Buyer agrees to use the service in accordance with the Terms of Use and to keep their account credentials secure.
• The Buyer is responsible for complying with applicable law when making calls through the platform, including rules against unsolicited marketing calls.
• If the payment is not made to the Seller by the cardholder or the bank for any reason, the Seller may suspend the service.

7. Seller's Obligations

• The Seller provides the purchased service in accordance with the characteristics stated in this agreement and in the Pricing section.
• Planned maintenance is announced in advance; in the event of unexpected outages the service is restored as quickly as possible.
• If it becomes impossible for the Seller to provide the purchased service, the Buyer is notified within 3 days of the Seller becoming aware of it, and the amount collected is refunded within 14 days.

8. Right of Withdrawal

Under Article 15(1)(ğ) of the Turkish Distance Contracts Regulation, the right of withdrawal does not apply to contracts for services performed instantly in electronic form or for intangible goods delivered instantly to the consumer. Because Poyvisor subscriptions and minute packages are performed instantly upon payment approval, they fall within this exception. By confirming the payment, the Buyer agrees that performance of the service begins immediately.

Nevertheless, the Seller offers the Buyer voluntary refunds under the conditions set out in the Delivery and Refund Policy: the full amount is refunded for requests made within 14 days of the first paid subscription payment where the service has not been used substantially, and the package price is refunded for entirely unused minute packages within 14 days of purchase. Refund requests are sent to info@poyvisor.com; approved refunds are made to the card used for the payment, within 14 days at the latest and at no cost to the Buyer.

9. Cancellation and Termination

• The Buyer may cancel their subscription at any time from Settings > Billing in their dashboard or by emailing info@poyvisor.com.
• Cancellation takes effect at the end of the paid period; the Buyer keeps using the service until then and is not charged for the following period.
• The Seller may suspend the account or terminate the agreement in the event of a breach of the Terms of Use, non-payment, or use that threatens the security of the platform.

10. Protection of Personal Data

The Buyer's personal data is processed as described in the Privacy Policy and the GDPR notice. Card details entered during payment are processed only by iyzico.

11. Dispute Resolution

This agreement is governed by the laws of the Republic of Türkiye. Buyers who are consumers may apply to the Consumer Arbitration Committee at their place of residence or where they purchased the service, within the monetary limits announced annually by the Ministry of Trade, and to the Consumer Courts for disputes above those limits. For Buyers who are not consumers, the Istanbul (Central) Courts and Enforcement Offices have jurisdiction. This does not remove any protections you have under the mandatory laws of your country of residence.

12. Entry into Force

By approving this agreement online at the payment step, the Buyer declares that they have read and accepted all of its terms. The agreement enters into force when the payment is approved. The current version is always available on this page; on request, a copy of the agreement is sent to the Buyer from info@poyvisor.com. In the event of any discrepancy, the Turkish version of this agreement prevails.
